Business-to-Business (B2B) Terms and Conditions of Sale

The gWINNER online B2B store was created to enable the Business Partners to place orders via Internet. Business Accounts will be bound by the following conditions:

1  General

1.1  These Terms and Conditions shall apply to all contracts for the sale of Goods by the Seller to the Buyer to the exclusion of all other terms and conditions referred to, offered or relied on by the Buyer whether in negotiation or at any stage in the dealings between the parties, including any standard or printed terms tendered by the Buyer, unless the Buyer specifically states in writing, separately from  such terms, that it wishes such terms to apply and this has been acknowledged by the Seller in writing.

1.2  Any variation to  these Terms and Conditions (including any special terms and  conditions  agreed  between  the  parties) shall be inapplicable unless agreed in writing by the Seller.

2  Order processing

2.1   There is no minimum quantity of products per order required.

2.2   All orders are processed as soon as the payment method has been verified.

2.3   All orders require both billing and shipping address verification prior to being sent to the warehouse for fulfillment. Your "Ship To" and "Bill To" addresses must be filled in.

2.4   Orders approved by our credit department by 12:00 CET are processed the same or the next business day (Except holidays) 

2.5   Online stock/inventory checking feature is intended as a guide only.  This feature does not guarantee or reserve any available stock or inventory for any order.   gWINNER will not be held responsible for errors, inventory shortages, discrepancies, or delays, due to the stock check calculator. Inventory levels and product allocation are subject to change at anytime.  

3  Payment and discounts

3.1  All orders and contracts are subject to approval by the Seller's credit department. The Seller may, at any time, require payment in advance or satisfactory security that invoice will be paid when due. If Buyer fails to comply with any of the terms hereof, the Seller reserves the right to withhold further deliveries or terminate the agreement of sale with oral or written notice and any unpaid amount shall thereupon become due.

3.2   The possibility for 30 days credit payment exists, after the Seller’s credit department has verified and approved the request from the Buyer’s company.

3.3   When it comes to a large quantity of products, the prices are negotiable.

3.4  If payment of the price or any part thereof is not made by the due date, the Seller shall be entitled to:

3.4.1  require payment in advance of delivery in relation to any Goods not previously delivered;

3.4.2  refuse to make delivery of any undelivered Goods whether ordered under the contract or not and without incurring any liability whatever to the Buyer for non-delivery or any delay in delivery;

3.4.3  terminate the contract.

 

4  Pricing and Availability

4.1  The price shall be that in the Seller’s current List Price, or such other price as  the  parties may agree in writing.

4.2  The pricelist is based on EX WORK (EXW - without delivery costs).

4.3 The price is exclusive of VAT or any other applicable costs.

4.4  Carriage shall be paid for by the Buyer.

4.5  For orders of value above 1000 Euro, the costs of delivery within European Union will be covered by the Seller.

4.6  Because of the fast-moving nature of the apparel industry, prices, promotions and product availability are subject to change without notice.

4.7  90% of products are in stock and available immediately, the rest is completed within the next 14 - 30 days.

4.8  If Buyer has ordered a product that is subject to a price increase, Seller reserves the right to hold a Buyer's order and inform the Buyer of the increase.

 

5  Shipment

5.1  Orders are delivered by UPS or GLS courier or the Standard Post.

5.2  Orders may require a signature upon delivery; therefore a physical street address is required for all orders.  Shipment to PO Boxes is not allowed. 

5.3  All shipping dates are approximate and are based upon current availability of products and prompt receipt of all necessary information. Total Shipment Time = Availability Time + Delivery Method Ship Time. Shipping time is calculated as an estimate AFTER the order has been shipped out of our warehouse. Time for delivery shall not be of the essence of the contract.
